REQUEST FOR EXPRESSIONS OF INTEREST (“EOI”)/PRE-QUALIFICATION FOR THE ACQUISITION OF ASSETS OF AMAKPE INTERNATIONAL REFINERIES NIGERIA LIMITED (IN RECEIVERSHIP).

1. INTRODUCTION
The Receiver/Manager appointed by the Asset Management Corporation of Nigeria (AMCON) over the assets of Amakpe International Refineries Nigeria Limited (or “Amakpe’) wishes to sell the assets of the refinery in a transparent and open bid process.

2. DETAILS OF THE REFINERY
The Department of Petroleum Resources of Nigeria (DPR) issued a 12,000 Barrels Per Day (BPD) Private Refinery Construction permit to Amakpe International Refineries Nigeria Limited in July 2007. The Amakpe Refinery Project is being implemented in 2 Phases. The Project covers fabrication of Plants, Machinery and Equipment, construction of a 12KM 5teel Pipeline connecting Exxon/Mobil QIT and a 120.000BBL Tank Farm, Reid Erection and Start-Up/Operation for the Refinery Plant. As at January 2010, Ventech Engineers Incorporated, the Refinery Plants and Machinery Manufacturers, achieved 100% completion in the fabrication of the Amakpe Refinery Plants, Machinery and Equipment at the Company’s Facility In Pasadena, Texas, USA, which will be shipped and installed at the Eket Project Site. Also available for sale is about 35.41 hectares of land located at Ikot Usoekong in Eket Local Government Area of Akwa Ibom State.

3. TRANSACTION TIMETABLE
The transaction is expected to be completed in about one (1) month from the date of the publication of this Expression of Interest (EOI). Submissions in respect of the EOI will close on December 29, 2016 and the evaluations carried out on January 4, 2017. The dispatch of Request for Proposals (“RFP”) and Information Memoranda to prequalified buyers will commence on January 6, 2017, while the Inspection of the refinery and due diligence will hold from January 1 2, 2017 to January 16, 2017.

Financial closure and payment deadline shall be February 15, 2017. The RFP will contain a detailed Transaction Time Schedule.

4. MODE OF APPLICATION AND REQUIREMENTS
Contents of Application:
Interested buyers of the refinery should write to the Receiver/Manager for prequalification on or before December 29, 2017 at the address stated below:
The following verifiable documents should be enclosed with the application:
a. Profile of applicant detailing the name of the company, its shareholders and ownership structure, contact persons, office and contact address including telephone numbers and e-mail addresses.
b. Composition and profile of the management team, stating qualifications and positions held to date, and years of experience in the refinery business.
c. Applicant’s technical, operating and financial capability, including the number of years of operations In the refinery business in Nigeria or elsewhere.
d. Evidence of any other relevant experience and/or capabilities that demonstrate the Company/Consortium’s ability to successfully manage a refinery.
e. Audited Financial Statements for the last two (2) years and the most recent management accounts.
f. Evidence of good financial standing including details of bankers.
g. Agreement(s) showing evidence of Alliance/Technical Partnerships for the purpose of the acquisition if applicable.
h. A description of the applicant’s vision, mission and strategy for the Refinery

5. EOls ARE INVITED FROM THE FOLLOWING ENTITIES:
a. Nigerian Companies engaged in Oilfield Services activities, with a track record of operating refineries.
b. Nigerian Companies and/or Investors interested in investing in the Oilfield Services industry.
c International Companies engaged in Oilfield Services activities with a track record of operating refineries.
d. International Companies and/or Investors interested in investing in the Oilfield Services industry in West Africa.
e. Parties may form a Consortium made up of entities in one or more of the above categories, provided that at least One (1 ) Nigerian Company and 1(One) Operator are members of the Consortium.
f. In the case of a Consortium, the Parties shall provide a letter identifying the membership of the Consortium, and defining the role(s) of each of the Consortium members, including which Party is authorized to submit the EOI.

6. SUBMISSION OF EXPRESSIONS OF INTEREST
The EOI must be submitted in a sealed envelope with one (1) original and three (3) copies duly signed by the authorized representative of the applicant and delivered to the Receiver/Manager at the address stated below not later than December 29. 2016

7. EVALUATION OF EOI
a. All EOls received will be evaluated for pre-qualification purposes by an Evaluation Committee set up for that purpose.
b. Evaluations will be based on assessment of applicants’ profile and financial capabilities.
c Only pre-qualified candidates will be issued with RFPs for submission of Technical and detailed Financial Proposals.
d. This pre-qualification exercise is not an offer and does not constitute a contract with an applicant. It will only be the basis for making a shortlist of bidders.

8. NOTIFICATION OF RESULTS
Pre-qualified applicants will be informed in writing of their pre-qualification not later than January 6, 201 7. Communication will only be made to successful applicants and no enquiry will be entertained from unsuccessful applicants.

9. OTHER INFORMATION
a. Late submissions shall be rejected.
b. Only Companies/Consortia who submit the required information and meet the pre-qualification criteria will be contacted to participate in the RFP and Transaction Process.
c Requests for further clarification or enquiries prior to the close of submissions should be made by email to [email protected]
d. All Information must be provided in English.
e. This invitation for Expressions of Interest does not create and is not intended to create any contractual relationship or legal obligation of any kind. It is a pre-qualification exercise only, and it is not an offer by the Receiver/Manager to any interested parties to concession, sell, lease, hire or otherwise dispose of any assets or make the assets available for use, enjoyment or otherwise. Nothing in this invitation for Expressions of Interest shall be construed to prevent the Receiver/Manager from continuing any ongoing discussions regarding the assets of Amakpe Refinery in receivership with third parties. Parties who submit Expressions of Interest shall bear all costs incurred in connection with the preparation and submission of their submissions to the Receiver/Manager. The Receiver/Manager shall not be liable or responsible in any manner whatsoever for such costs or any other costs or other expenses incurred by parties in connection with submitting an Expression of Interest, regardless of the outcome of any selection process that may occur pursuant to this Invitation for Expressions of Interest, or any other discussions or processes regarding the refinery.
